Hwan Sung Medical Charity Services is being operated under following Constitution.

 

The name of organization shall be Hwan Sung Medical Charity Services (hereinafter called the ¡°Charity) and its headquarter shall be in Kampala, Uganda.

 

The name of organization shall be Hwan Sung Medical Charity Services (hereinafter called the ¡°Charity) and its headquarter shall be in Kampala, Uganda.

¡Ü To support free medical services, entrusting it with medical practitioners in Kampala in order to      help the poor who are suffering from Cataract, Cleft Lip or Heart Disease.

¡Ü To expand the Charity¡¯s free medical services to other diseases.

¡Ü To establish and operate a General Hospital for the poor people in Uganda, of which project      includes 288 sickbeds with the highest level of facilities.

¡Ü To establish and operate a charity clinic to support the needy vulnerable groups.

¡Ü To support the needy communities in Uganda with the necessities of life, and meet their Health      Needs.

¡Ü To provide medical support and the necessities of life for the needy orphans and the poor      communities in Uganda.

 

For the realization of above objectives, the Charity shall have the following powers

¡Ü To accept subscriptions and donations.

¡Ü To take such necessary steps by appeals public meetings or otherwise as may from time to time      be deemed expedient for the purpose of procuring contributions to the funds of the Charity in the      form of donations, subscriptions or otherwise.

¡Ü To borrow or raise money for the purposes of the Charity on such terms and on such security as      may be thought fit.

¡Ü To print and publish or procure to be printed and published to circulate or procure to be circulated      (whether gratuitously or not) any newspapers, periodicals, magazines, books, pamphlets or other       documents that may deemed necessary or desirable for the promotion of the objectives of the       Charity or any of them.

¡Ü To invest the moneys of the Charity not immediately required for its purpose in or upon such      investments, securities or property as may be thought fit.

¡Ü To establish and support or aid in the establishment and support or become a member of or      cooperate with any charitable association or institutions whether incorporated or not and to      subscribe or guarantee money for charitable purposes in any way connected with the purpose of      the Charity or calculated to further its objectives.

¡Ü To employ such persons as may be necessary in the carrying out and general implementation of      these constitution articles and to provide for and arrange and implement the training of such      persons.

¡Ü To do all such things as are incidental or necessary to the attainment of the above objectives or any      of them.

 

¡Ü Initial Membership of the Charity shall consist of all those persons who are the share holders of      Hwan Sung Group of Companies.

¡Ü The persons who have made a substantial contribution for the Charity shall be the members      subject to the written approval by a majority of two-thirds of all existing members.

¡Ü The privileges of member shall not be transferable or transmissible.

¡Ü Any member of the Charity shall cease to be a member by a resolution with   two-thirds approval at      the Board of Directors.

 

The General Assembly is an Annual Meeting of the Members of the Charity held within six calendar months after end of each financial year and shall have the responsibility and authority for the following.

¡Ü Protect rights and privileges of the members.

¡Ü Approve accounts of the Charity.

¡Ü Approve business plan, annual plan and budget of the Charity.

¡Ü Review and examine the Auditor¡¯s report.

¡Ü Review and approve the reports from the Board of Directors.

¡Ü Recommend to the Board of Directors any charity activity or program as may be thought fit.

 

The Board of Directors shall consist of those members who have any shares of Hwan Sung Group of Companies and have the responsibility and authority for the following.

¡Ü Report to the general assembly

¡Ü Establish sub-committees for such purposes of promotion of any charity activity or program      recommended by General Assembly and employ such persons as may be necessary in the      carrying out it.

¡Ü Initiate programs as may be thought fit for the purposes of the Charity.

¡Ü Mobilizes resources and protect the organization assets.

¡Ü Define and uphold mission, aims and strategic objectives and policies of the Charity.

¡Ü Review and approve business plans and budget before presenting to General Assembly.

¡Ü Supervise Management Committee in the execution of approved plans.

¡Ü Appoint the Auditor

 

There shall be the following posts in Management Committee. The numbers of posts and persons at the Committee can be increased or decreased by decision of the Chairman.

¡Ü A Chairman

¡Ü A Vice Chairman

¡Ü An Administrator in charge of general affairs

¡Ü An Accountant

¡Ü A Manager in charge of Public Relation business and Advertisement

¡Ü A Manager in charge of arrangement of medical service

 

¡Ü The Charity¡¯s financial year shall be based on the fiscal year of the Republic of Uganda.

¡Ü The accountant shall cause proper books of account to be kept with respect to

     a) all sums of money received and expended by the Charity and the matters in respect of which           such receipts and expenditure take place.

     b) all sales and purchases of goods by the Charity

     c) the assets, credits and liabilities of the Charity

¡Ü Proper books shall be kept to give a true and fair view of the affairs of the Charity and to explain the      transactions.

¡Ü All funds of the Charity shall as soon as possible after receipt be paid into the Bank Accounts to be      opened and maintained in its name. Such Accounts shall be under the control of the Chairman.

¡Ü All payment of money to be made on behalf of the Charity shall be applied towards the objectives of      the Charity as set out in its Constitution and shall be approved by the Chairman. When it is not      practicable to obtain the Chairman¡¯s prior approval, the payment may be approved by Vice      Chairman, but the payment so made should be immediately approved by the Chairman as soon as      it is practically possible.

¡Ü The Management Committee shall make adequate arrangements for the security and safe custody      of all monies and books belonging to the Charity.

 

¡Ü The accounts relating to the Charity¡¯s affairs shall be audited by such persons as are appointed by      the Board of Directors.

¡Ü The Auditor appointed under above clause hereof shall make a report to the members of the      accounts examined by him(or her), and on every balance sheet and profit and loss account laid      before the members of the Charity in General Assembly during his tenure of office.

¡Ü The report shall state whether in the Auditor¡¯s opinion the Charity¡¯s balance sheet and profit and      loss account have been properly prepared and whether in his opinion a true and fair view is given.

      i. In the case of the balance sheet, of the state of the Charity¡¯s affairs as at the end of its financial          year.
      ii. In the case of the profit and loss account, of the Charity profit and loss for its financial year.

¡Ü It shall be the duty of Auditor, in preparing his report, to carry out such investigations as will enable      him to form an opinion as to the following matters.

      i. Whether proper books of account have been kept by the Charity
      ii. Whether the Charity¡¯s balance sheet and profit and loss account are in agreement with the           books of account and returns.

¡Ü If the Auditor is of the opinion that proper books of account have not been kept by the Charity or if the      balance sheet and profit and loss account have not in agreement with the books of account and      return, the Auditor shall state that fact in his report.

¡Ü The Auditor shall have a right of access at all times to the books and accounts and vouchers of the      Charity, and shall be entitled to require from the Accountant such information and explanations as      he thinks necessary for the performance of the duties of the Auditor.

¡Ü If the Auditor fails to obtain all the information and explanations which, to the best of his knowledge      and belief, are necessary for the purpose of his audit, he shall state that fact in his report.

 

 Any director of the Charity shall have the right at all times to examine all books, documents and accounts of the Charity.

 

The Chairman or the Board of Directors is entitled to make any rule and regulation as may be thought fit for the management of the Charity and shall comply with this Constitution.

 

¡Ü The Charity can be dissolved by a resolution with unanimous approval of the Board of Directors.

¡Ü In the event of the dissolution, the assets and properties shall be given to such other charity or      charities preferably having objects similar to those of the Charity.

 

This Constitution may be altered by a resolution passed by a majority of two-thirds of the Board of Directors.
